Terms of Service

By accessing or using Nilux AI (“Nilux,” “we,” “our,” or “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service. Your continued use of the Service following any changes to these Terms constitutes your acceptance of those changes.

Nilux AI is an AI-powered code assistant accessed via a command-line interface (CLI). The Service processes your code and queries through third-party AI model providers. Nilux provides tools for code analysis, editing, search, and task automation within your development environment.

The Service is provided on a pay-per-use basis. You are charged based on the number of tokens processed on your behalf. Nilux does not store your code permanently on our servers; code context is transmitted to AI providers solely for processing your requests.

To access the Service, you must register for an account by providing a valid email address, a password, and optionally your name. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

You are responsible for maintaining the confidentiality of your account credentials, including your password and API keys. You are fully responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.

Nilux AI reserves the right to suspend or terminate accounts that provide inaccurate information, violate these Terms, or engage in fraudulent or illegal activity.

Nilux AI operates on a pay-per-use billing model. Your account balance is deducted after each request based on the tokens consumed. The pricing for each model is available on our Pricing page.

There are no refunds on consumed credits. Once tokens have been processed and the corresponding balance has been deducted, those charges are final. Unused balance remains in your account and does not expire.

Self-service payment integration is under development. Currently, account top-ups are processed manually. Contact support to add funds to your account. We will notify users when self-service payments become available.

You agree not to use the Service for any of the following:

• Generating, distributing, or facilitating malware, viruses, or other harmful code
• Sending spam, unsolicited messages, or engaging in phishing activities
• Conducting or facilitating illegal activities
• Creating multiple accounts to circumvent billing or abuse the Service
• Reverse engineering, decompiling, or disassembling any part of the Service
• Circumventing usage limits, rate limits, or access controls
• Using the Service to generate content that infringes on the rights of others, including intellectual property rights
• Using the Service in a manner that could disable, overburden, or impair the functioning of the Service

Nilux AI reserves the right to investigate and take appropriate legal action against anyone who violates this Acceptable Use Policy, including terminating accounts and reporting violations to law enforcement authorities.

You retain all ownership and intellectual property rights to the code you write, submit, or process through the Service. Nilux AI does not claim any rights, license, or ownership over your code or any content you create using the Service.

The code, suggestions, and output generated by the AI models (“AI Output”) are provided for your convenience. You are solely responsible for reviewing, testing, and validating all AI Output before using it in your projects. Nilux makes no claim of ownership over AI Output, but you are responsible for ensuring that AI Output does not infringe on third-party rights.

The Nilux AI name, logo, branding, CLI tool, website, and all related materials are the exclusive property of Nilux AI. You may not use our branding without prior written permission.

The Service relies on third-party AI model providers to process your requests. Your code context and queries are transmitted to these providers for processing. The specific providers we use may change over time as we improve the Service.

By using Nilux AI, you acknowledge that your data may be processed by third-party AI providers and agree to their applicable terms. Nilux AI is not responsible for the data handling practices of these third-party services. For information about our current providers, please contact us.

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Nilux AI does not guarantee the accuracy, completeness, or usefulness of AI-generated code, suggestions, or output. AI models may produce incorrect, incomplete, or insecure code. You are solely responsible for reviewing, testing, and validating all AI Output before use.

To the fullest extent permitted by applicable law, Nilux AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to damages for loss of profits, data, or goodwill, arising from your use of or inability to use the Service, even if Nilux AI has been advised of the possibility of such damages.

Nilux AI is not liable for any damages resulting from the use of AI-generated code in production systems, including but not limited to security vulnerabilities, data loss, system failures, or intellectual property infringement.

Nilux AI makes reasonable efforts to ensure the Service is available and functioning properly. However, the Service is provided on a best effort basis. We do not guarantee uptime or availability, and there is no Service Level Agreement (SLA).

We may perform scheduled maintenance that may result in temporary service interruptions. We will attempt to provide advance notice of scheduled maintenance whenever feasible.

Nilux AI shall not be liable for any service interruptions, delays, or failures caused by circumstances beyond our reasonable control, including but not limited to third-party provider outages, network failures, or force majeure events.

Nilux AI reserves the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, including for violations of these Terms or the Acceptable Use Policy.

You may request deletion of your account at any time by contacting support. Upon account deletion, your personal data will be handled in accordance with our Privacy Policy.

Upon termination, your right to access and use the Service will immediately cease. Any remaining account balance may be forfeited at our discretion unless otherwise required by applicable law.

We reserve the right to update or modify these Terms at any time. If we make material changes, we will notify users through the Service or via email. The updated Terms will be posted on this page with a revised effective date.

Your continued use of the Service after any modifications to the Terms constitutes your acceptance of the updated Terms. If you do not agree to the new Terms, you must stop using the Service and may request account deletion.

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration where required by applicable law, conducted on an individual basis.

You agree that any claim or cause of action arising out of or related to these Terms or the Service must be filed within one year after such claim or cause of action arose, or it will be permanently barred.
